Jan Sundelin and Zwier van Puijenbroek have stepped down from management board of ER Capital N.V. following successful completion of reverse listing and corporate transformation
Amsterdam, 14 October 2025 – ER Capital N.V. ("ERC" or the "Company"), previously Titan N.V., and currently listed under the name "ER Capital N.V." and ticker symbol "ERC", hereby announces that Mr. Jan Sundelin and Mr. Zwier van Puijenbroek have stepped down as members of the management board of ERC as per COB 13 October 2025.
Mr. Jan Sundelin and Mr. Zwier van Puijenbroek have each informed the Company that, after the successful execution of the statutory triangular division (juridische driehoekssplitsing), the subsequent completion of the reverse listing of ERC and the change of name and ticker symbol from "Titan N.V." and "TITAN" to "ER Capital N.V." and "ERC" respectively at Euronext Amsterdam and a smooth transition period, they have each indicated that it has been time for each of them to step down and resign from the management board of the Company as per 13 October 2025 to make way for new management of the Company. Following these resignations, the supervisory board of ERC will determine the appropriate size and future composition of the management board of ERC.
Jan Sundelin, former member of the management board of ERC: "It has been an honour to have been part of the Company's journey over the past years. As a member of the management board of the Company since 2007, I've seen the Company transition from being a specialized IT development and services company (previously called Titan N.V. (and before it became Titan N.V.: TIE Kinetix N.V.), to becoming a legal entity without business activities and staff after the Company transferred all of its business activities and operation to SPS International, Inc., a wholly owned subsidiary of SPS Commerce, Inc. in September 2023. Subsequently, through the execution of the statutory triangular division and subsequent reverse listing, the Company is now a real estate investment and operating company headquartered in Rotterdam, the Netherlands, whereby the group specialises in the strategic acquisition, (re)development, enhancement and active management of residential and commercial real estate assets across the Netherlands. I am proud to have had the opportunity to contribute to the successful transition of the Company and would like to thank my fellow management board member, Mr. Sebo Eelkman Rooda (CEO), the supervisory board and all employees of the Company for their hard work and commitment, and great cooperation to get to where the Company is today."
